Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Reefline platform operated by NexArch Ltd ("we", "us", "our"), a company registered in New Zealand.
By creating an account or using the platform, you agree to be bound by these Terms. If you are using Reefline on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. The service
Reefline is a cloud-based platform for dive and marine operations management. The platform includes modules for gear tracking, trip manifests, waiver capture, incident reporting, and crew training management.
We provide the platform on an "as available" basis and may update, modify, or discontinue features at any time. We will give reasonable notice of material changes where possible.
3. Accounts
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately if you become aware of any unauthorised access to your account.
- You must be at least 18 years old to create an account.
4. Subscriptions and payment
Free trial
New accounts receive a 14-day free trial. During the trial period, you have full access to the modules you have selected. At the end of the trial, access is suspended until a paid subscription is activated.
Paid plans
Subscription fees are charged monthly based on the modules you have selected. Prices are listed on our pricing page and may be updated with 30 days' notice.
Payment terms
- Payments are due at the start of each billing period.
- If payment fails, you will enter a 7-day grace period. During this period, your account remains active but you will receive reminders to update your payment details.
- If payment is not received within the grace period, your account will be suspended.
- Suspended accounts retain their data for 90 days. After 90 days, data may be permanently deleted.
Refunds
We do not offer refunds for partial billing periods. If you cancel your subscription, you will retain access until the end of the current billing period.
5. Your data
Ownership
You retain ownership of all data you enter into the platform. We do not claim any intellectual property rights over your content.
Licence to us
You grant us a limited licence to store, process, and display your data solely for the purpose of providing the service to you. This licence ends when you delete your data or close your account.
Data export
You may export your data at any time using the platform's export features. If you close your account, you will have 30 days to export your data before it is deleted.
Data integrity
Certain records (manifests, incident reports, waivers) are stored with cryptographic integrity chains. These records are immutable by design and cannot be edited or deleted once created. This is a regulatory requirement, not a limitation.
6. Acceptable use
You agree not to:
- Use the platform for any unlawful purpose.
- Attempt to gain unauthorised access to the platform or other users' accounts.
- Interfere with or disrupt the platform or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the platform.
- Use the platform to store or transmit malicious code.
- Resell or sublicence access to the platform without our written consent.
7. Intellectual property
The Reefline platform, including its design, code, documentation, and branding, is owned by NexArch Ltd and protected by New Zealand and international intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform as a subscriber.
8. Limitation of liability
To the maximum extent permitted by New Zealand law, including the Consumer Guarantees Act 1993 where applicable:
- The platform is provided "as is" without warranties of any kind, whether express or implied.
- We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.
- Our total liability for any claim arising from your use of the platform is limited to the fees you have paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under New Zealand law.
9. Regulatory disclaimer
Reefline is designed to support compliance with New Zealand regulations including the Maritime Transport Act, Health and Safety at Work Act 2015, and Adventure Activities Regulations. However:
- The platform is a tool to assist your compliance efforts. It does not constitute legal or regulatory advice.
- You remain solely responsible for meeting your regulatory obligations.
- We do not guarantee that use of the platform will ensure compliance with any specific regulation.
10. Termination
By you
You may cancel your subscription at any time through the platform or by contacting us. Cancellation takes effect at the end of the current billing period.
By us
We may suspend or terminate your account if you breach these Terms, fail to pay fees after the grace period, or if we are required to do so by law. We will give reasonable notice where possible.
11. Disputes
These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of the platform will be subject to the exclusive jurisdiction of the courts of New Zealand.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
12. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
